　　Further to our many pleasant meetings over the past weeks, please find below our offer to join Office Depot China (“Office Depot” or “the Company”) in the position of Director South China
　　Annual Base Salary
　　Your gross annual base salary, including any allowance and gratifications, will be RMB 600,000 (or RMB 50,000 monthly x 12). As per company standard practice, your salary will be reviewed annually as part of the regular performance and pay review process. Any adjustments will be subject to the country standards for merit and/or promotional increases.
　　(Sales) Bonus Plan:
　　You are entitled to participate in the Office Depot China (Sales) Bonus Plan. Your entitlement to bonus will be subject to the terms and rules of any such scheme and the Company reserves the right to amend any such scheme from time to time. Currently, the plan provides a target bonus of 40% of bonus eligible earnings. The bonus achievement is calculated and paid on a quarterly basis.

　　Long Term Incentive Plan:
　　You are entitled to participate in the Company’s Corporate Long Term Incentive Plan. Your entitlement to such plan will be subject to the terms and rules of any such plan. The plan is entirely discretionary and, subject to approval of the Compensation Committee of the Board of Directors, the Company may modify or cancel the Plan at any time. Currently the target cash plan would amount to US$10,000. The plan has a time based vesting schedule. 1/3 will vest per year for three years. Associates must be in an eligible position on the award date and must be actively employed on the date the award vests.
　　Incentive Payment:
　　You are entitled to receive an additional incentive payment at a value to US$ 10,000 paid to you by Office Depot China in three installments. The first payment 1/3 of the total incentive amount) will be issued to you after 90 days of service, whereas the other two remaining installments will be executed upon your company anniversary date in 2009 and 2010 respectively. Note that this incentive payment is a one time grant.
